1. Parties
This End User License Agreement ("EULA") is between you ("Licensee") and JSC Cards Pty Ltd, a company registered in South Africa ("Licensor").
2. Grant of License
Licensor grants Licensee a personal, non-exclusive, non-transferable, revocable license to install and use the Web Iron Shield software (the "Software") on up to two (2) devices that Licensee personally owns or controls, subject to payment of the applicable license fee and compliance with this EULA.
3. Restrictions
Licensee shall not:
- Copy, distribute, sublicense, lease, rent, or otherwise transfer the Software
- Reverse-engineer, decompile, or disassemble the Software except to the extent permitted by law
- Modify the Software or create derivative works
- Remove or alter copyright notices, trademarks, or proprietary legends
- Use the Software to violate any applicable law, including laws regarding unauthorized access to computer systems
- Share, resell, or publish license keys
4. Ownership
The Software is licensed, not sold. Licensor retains all right, title, and interest, including all intellectual property rights, in and to the Software. No rights are granted to Licensee other than those expressly stated in this EULA.
5. Updates
Licensor may provide updates, patches, or new versions from time to time. All updates are included at no additional cost for the lifetime of Licensee's license. Updates become part of the Software and are governed by this EULA.
6. Authorized Testing Only
Licensee acknowledges that the Software is a security testing tool that can be misused. Licensee warrants they will use the Software only against systems they own or have explicit written authorization to test. Licensee agrees to indemnify and hold Licensor harmless from any claims arising from unauthorized use.
7. Warranty Disclaimer
THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. LICENSOR DOES NOT WARRANT THAT THE SOFTWARE WILL BE ERROR-FREE, UNINTERRUPTED, OR DETECT EVERY VULNERABILITY.
8. Limitation of Liability
IN NO EVENT WILL LICENSOR'S TOTAL AGGREGATE LIABILITY EXCEED THE AMOUNT PAID BY LICENSEE FOR THE LICENSE. LICENSOR IS NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES, EVEN IF ADVISED OF THE POSSIBILITY THEREOF.
9. Termination
This EULA is effective until terminated. Licensor may terminate this EULA immediately if Licensee breaches any material term. Upon termination, Licensee must uninstall and destroy all copies of the Software.
10. Governing Law
This EULA is governed by the laws of the Republic of South Africa without regard to conflict of law provisions. Exclusive jurisdiction lies with the courts of Johannesburg.
11. Entire Agreement
This EULA constitutes the entire agreement between the parties concerning the subject matter and supersedes all prior oral or written understandings.
